Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between Lyvboard and the company or person accessing or using the Product. This Agreement consists of the Order Form below and the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

1. Order Form and Framework Terms

This Order Form incorporates and is governed by the Framework Terms made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, available at https://commonpaper.com/standards/cloud-service-agreement/2.1/.

Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

2. Cloud Service

Lyvboard is an all-in-one football coaching platform that helps staffs build playbooks, organize installs, plan practices, communicate with players and parents, and manage team operations from one connected workspace.

It gives coaches the tools to teach the game more clearly while saving time throughout the week.

3. Order Date and Subscription Period

Order Date: The Effective Date.

Subscription Period: 1 year.

4. Fees and Payment

Certain parts of the Product have different pricing plans, which are available at Provider's pricing page at https://lyvboard.com/. Customer will pay Provider the applicable Fees based on the Product tier and Customer's usage.

Provider may update Product pricing by giving at least 30 days notice to Customer, including by email or notification within the Product, and the change will apply in the next Subscription Period.

Payment Process: Customer authorizes Provider to bill and charge Customer's payment method on file annually for immediate payment or deduction without further approval.

Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.

5. Use Limitations

The Product is authorized for use by legal users in compliance with applicable laws. Accounts may not be shared between multiple individuals. Access is limited to the number of users included in the selected plan.

  • Excessive automated access, scraping, or reverse engineering is prohibited.
  • Free and pilot accounts may have feature or usage limits.
  • Storage, uploads, and team counts may be subject to reasonable limits.

6. Technical Support and SLA

Customers may request technical support by contacting support@lyvboard.com or through any support channels made available within the Service.

Provider may offer onboarding assistance, product documentation, training materials, and technical support at its discretion, and may update its support procedures from time to time.

Provider will use commercially reasonable efforts to provide and maintain the Cloud Service without excessive errors and interruptions.

If Provider does not meet the SLA in two consecutive months or over three months in any 12-month period, Customer may, as its only remedy, terminate this Order Form upon notice and receive a prorated refund of prepaid fees for the remainder of the Subscription Period.

7. Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word Customer in the Agreement will mean that company.

Provider: Lyvboard.

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Virginia.

Chosen Courts: The state or federal courts located in Virginia.

8. Covered Claims

Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else's intellectual property or other proprietary rights.

Customer Covered Claims: Any action, proceeding, or claim that the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else's intellectual property or other proprietary rights, or results from Customer's breach or alleged breach of Section 2.1, Restrictions on Customer.

9. Liability Cap and Notices

General Cap Amount: The fees paid or payable by Customer to Provider in the 12-month period immediately before the claim.

Notice Address for Provider: legal@lyvboard.com.

Notice Address for Customer: The main email address on Customer's account.

10. Data Processing Agreement

Provider's Data Processing Agreement, if applicable, is available upon request or at a URL designated by Provider.

Provider may update the Data Processing Agreement from time to time in accordance with applicable law.

11. Student Data, Export, Deletion, and Audits

If Customer is a school, district, athletic department, or youth sports organization, Customer is responsible for determining what student or parent information may be used in the Product and for obtaining any required permissions.

Lyvboard does not sell student information and does not use student information for advertising profiles.

Authorized organization representatives may request export or deletion of organization-controlled data, subject to verification, applicable agreements, legal obligations, security requirements, and reasonable operational timelines.

Lyvboard may maintain audit logs and security records for sensitive actions, including roster changes, profile updates, weightroom records, equipment assignments, communications, exports, deletions, and administrative access.

12. Security Policy

Lyvboard is committed to maintaining reasonable administrative, technical, and physical safeguards designed to protect customer data.

Access to customer data is restricted to authorized Lyvboard personnel who require access to operate, maintain, or support the Service.

User accounts are protected through password-based authentication. Multi-factor authentication may be offered for additional account security.

Data transmitted between users and the Service is encrypted using industry-standard TLS/HTTPS encryption. Data stored by Lyvboard's service providers may be encrypted at rest where supported.

Lyvboard utilizes reputable third-party cloud and infrastructure providers to host and operate the Service. These providers may implement additional security controls, monitoring, and redundancy measures.

Lyvboard maintains reasonable measures intended to preserve service availability and recover data in the event of a system failure.

Lyvboard will investigate known security incidents affecting customer data and take commercially reasonable steps to mitigate the impact of such incidents.

Access privileges are granted according to business need and may be revoked when no longer required.

Lyvboard may update this Security Policy from time to time to reflect changes in technology, business operations, or legal requirements.
